Scale Up User Agreement

Thank you very much for registering to use Scale Up products. In order to allow you to better use the products and services provided by Weichuan Intelligent Technology (Shanghai) Co., Ltd., please be sure to carefully read and fully understand the “Scale Up User Agreement” (hereinafter referred to as “User Agreement” or “this Agreement”), especially the terms exempting or limiting liability, and choose to accept or not accept it.

Unless you have read and accepted all the terms of this agreement, you have no right to download, install or use related products and services provided byScale Up. Your downloading, installation, use, login, etc. are deemed to have read and agreed to be bound by this Agreement.

1. Scope of the Agreement
1.1Scale Up App (hereinafter collectively referred to as “Scale Up Products”) is an Internet product and service provided by Weichuan Intelligent Technology (Shanghai) Co., Ltd. and its affiliated companies (hereinafter referred to as “Weichuan” or “we”).

1.2 This User Agreement is an agreement between the user (you) and WeChat’s operating partners (hereinafter referred to as “partners”) regarding the use of products and services provided by Scale Up. The terms of this agreement are valid for Scale Up. All products and services provided, and users shall be bound by this Agreement when enjoying any single service of Scale Up.

1.3 The products and services under this agreement refer to Internet products and services published by Scale Up including but not limited to online media, Internet value-added, interactive entertainment, e-commerce and advertising (forms include but not limited to online videos, pictures, software, technical code, etc.).

1.4 The content of this agreement also includes the Privacy Policy and all various rules, announcements or notices that Scale Up has published or may publish in the future. When you use a specific product or service of Scale Up, you may have a separate agreement. , relevant service rules, etc. The aforementioned rules, announcements, notices and agreements shall become an integral part of this Agreement once they are released, and you shall also abide by them. If you do not agree to the terms of this Agreement, you should immediately stop registration/activation and stop using Scale Up’s related products and services.

1.5 Scale Up has the right to amend this Agreement and/or various rules from time to time as necessary (including but not limited to formulating new terms and modifying existing terms), and announce changes through online announcements without separately notifying you. Once the revised agreement and rules are announced, they will automatically take effect immediately or at a specific time specified in the announcement. If you continue to use Scale Up’s products or services after the revision of the aforementioned announcement, you will be deemed to have read, understood and accepted the revised agreement and rules. If you do not agree to the revision, you should immediately stop using the products and services provided by Scale Up.

1.6 Except as expressly provided in this Agreement,Scale Up has the right to regulate the products and services developed/released using Scale Up through separate product and service agreements (hereinafter referred to as “individual product agreements”) on the basis of this Agreement. Users You must separately understand and confirm when using the relevant products or services. Where there is a conflict between an individual product agreement and this Agreement, the individual product agreement shall prevail. If the user uses the product or service, it is deemed to be acceptance of the relevant individual product agreement.

2. Introduction to Scale Up products and services
2.1 Scale Up provides users with a variety of Internet products and services, including but not limited to activities, running, walking, cycling, e-commerce and other related products. Users can use, share and purchase the products and services provided by Scale Up through Scale Up products. . Users have the right to obtain the products and services provided by Scale Up, but Scale Up has the right to charge the resulting service or product fees.

2.2 Scale Up operators will try their best to provide unimpeded online services. However, the network access service of the platform may be affected by various factors and the link may be blocked, restricted or terminated. For any losses and inconvenience caused to you, we will not be held responsible.

2.3 Some products and services provided by Scale Up require payment, and users need to pay a certain fee to the Scale Up operator to use such products. For paid products and services, we will give users clear prompts before using them. Only when users confirm their willingness to pay the relevant fees according to the prompts can users use/continue to use such paid products and services. If the user refuses to pay the relevant fees, the Scale Up operator has the right not to provide such charged products and services to the user.

2.4 Scale Up only provides online products and services. In addition, equipment related to network services (such as mobile phones, personal computers, and other devices related to accessing the Internet or mobile networks) and required fees (such as access to The telephone charges and Internet access charges paid for the Internet, and the mobile phone charges paid for using the mobile network) shall be borne by the users themselves.

2.5 Replacement, modification and upgrade of Scale Up:

2.5.1 In order to enhance user experience and improve service content, Scale Up has the right to develop new services based on your usage status and behavior of the software;

2.5.2 In order to improve, enhance and further develop services, Scale Up has the right to provide software updates (including software upgrades, replacements, modifications, function enhancements, version upgrades, etc.) from time to time;

2.5.3 The user understands and agrees:Scale Up has the right to update Scale Up, or change or restrict some functions of Scale Up without any special notice to you.

2.5.4 After the new version of Scale Up is released, the old version may not be available. The operator of Scale Up does not guarantee that the old version of Scale Up and corresponding services will continue to be available. In order to fully and timely use Scale Up’s services, please check and download the latest version at any time.

2.6 Third-party applications and services

Scale Up products provide functional modules that support third-party applications for users to use, including but not limited to tool services, video or picture services, etc., as well as various services that may appear in the future. When using such applications, users shall abide by the provisions of this Agreement and the corresponding agreements, terms or rules of the application. The rights and obligations between users and developers shall be implemented with reference to relevant agreements, terms or rules. When using software and services provided by third parties, users must understand and agree:

2.6.1 When users use applications and services provided by third-party developers, the third-party developers will obtain the user’s personal data and content information based on the user’s authorization. These materials and information are licensed to third parties at the user’s discretion. Users must be clear: Scale Up operators are not responsible for any information leakage that may occur after providing personal data and content information to third-party developers.

2.6.2 Scale Up has the right to review and manage the functions and content provided by third-party developers, and has the right to remove third-party functions or applications from the shelves without notifying users. The resulting impact on users, The operator of Scale Up will not be responsible for any losses, which shall be borne by the user or negotiated with a third party, but Scale Up will try its best to protect the rights of users from infringement.

2.6.3 When using third-party applications, users must agree to: (1) authorize the use of their Scale Up account to log in to third-party applications; (2) agree to third-party applications obtaining their personal data to obtain corresponding products and services.

2.6.4 Any disputes between users and third-party developers arising from the use of third-party applications shall be resolved by the users and the developers themselves through negotiation. Relevant responsibilities and compensation shall be borne solely by the developers, and Scale Up operators shall not bear any responsibility.

3. Intellectual Property Statement
3.1 WeChat enjoys all legal ownership of Scale Up products in accordance with the law (including but not limited to intellectual property rights and ownership rights). All copyrights and other intellectual property rights of Scale Up, as well as all information related to Scale Up, including but not limited to: text expressions and their combinations, icons, graphics, icons, color combinations, interface design, layout framework, and related data , printed materials, or electronic documents are protected by China’s laws and regulations related to intellectual property and relevant international treaties.

3.2 Scale Up products and videos, games, technical software and other products and information provided through Scale Up products, except those uploaded by users themselves or clearly marked as provided by third parties, all rights belong to WeChat.

3.3 “Scale Up”, “Scale Up” and/or Scale Up’s product and service logos reflected in Scale Up’s products are trademarks or registered trademarks of Scale Up in China or other countries and regions. Users are not allowed to do so without legal authorization. use.

3.4 WeChat owns patent rights, patent application rights, trademark rights, copyrights and other intellectual property rights in Scale Up products and related services.Scale Up does not grant users any intellectual property rights related to Scale Up because of this agreement or for providing Scale Up and related products and services to users. Rights not expressly granted to users in this Agreement are reserved by Scale Up.

4. User privacy system
4.1 Protecting users’ personal information is a basic principle of Scale Up.Scale Up will collect, use, store and share your personal information in accordance with the provisions of this Agreement and the Privacy Policy. If the provisions on the protection of personal information in this Agreement conflict with the Privacy Policy, or if this Agreement does not clearly provide for the protection of personal information, the contents of the Privacy Policy shall prevail.

4.2 When you register an account or use Scale Up products and services, you may need to fill in some necessary information. If there are special provisions in national laws and regulations, you need to fill in your true identity information. If the information you fill in is incomplete, you may not be able to use Scale Up’s products or services, or you may be restricted during use.

4.3 You can browse and modify the information you submitted at any time, but for security and identification reasons (such as account appeal service), you may not be able to modify some of the initial registration information and other verification information provided during registration.Scale Up reserves the right to review your modification of personal information.

4.4 Scale Up will not transfer or disclose your personal information to any unaffiliated third party unless:

(1) Relevant laws and regulations or requirements of courts and government agencies;

(2) Transferred to complete a merger, division, acquisition or asset transfer;

(3) Necessary to provide the services you request;

(4) Other circumstances that Scale Up determines are necessary and do not violate the mandatory provisions of laws and regulations.

4.5 Scale Up attaches great importance to the protection of minors’ information. If you are a minor under the age of 18, you should obtain the consent of your legal guardian before using Scale Up’s services.

5. User account, password and security
5.1 Registration qualifications

You confirm that when you complete the registration process or actually use the products and services provided by Scale Up in other ways permitted by Scale Up, you should be a natural person, legal person or other organization with full civil rights and full civil capacity. If you do not have the aforementioned subject qualifications, you and your guardian shall bear all consequences resulting therefrom, and Scale Up has the right to cancel or permanently freeze your account, and reserves the right to seek compensation from you or your guardian.

Minors under the age of 18 and other persons with incomplete civil capacity should use Scale Up’s products and services under the guidance of legal guardians.

5.2 Registration and Account

In order to fully use the products and services provided by Scale Up, you must register an account provided by Scale Up. The user (you) must be responsible for the authenticity, legality, validity and completeness of the information provided when registering a Scale Up account, and maintain and update your personal information in a timely manner to ensure the authenticity, legality and validity of the information.

5.3 Scale Up hereby reminds you to protect your account number and password and do not disclose your account number and password to others. You are solely responsible for keeping your account and password confidential, and for all activities that occur under your account and password (including but not limited to information disclosure, information release, online click consent or submission of various rules and agreements, and online renewal agreement or purchase of services, etc.).Scale Up cannot and will not be responsible for any losses caused by your failure to comply with the provisions of these terms. If you find that anyone is using your account and password without authorization, you must notify Scale Up immediately. You must understand and agree that it takes reasonable time for Scale Up to take action according to your request, and Scale Up will not be responsible for any adverse consequences that occur before taking action.

5.4 You can set a nickname for your account. The nickname you set must not infringe or be suspected of infringing the legitimate rights and interests of others. Users promise to abide by the following regulations when setting nicknames:

(1) Do not register with the real names, trade names, stage names, or pen names of party and state leaders or other social celebrities;

(2) Not registered in the name of a national agency or other institution;

(3) Do not register accounts with uncivilized or unhealthy names, or accounts that contain discriminatory, insulting, or obscene words;

(4) Failure to register an account that is likely to cause ambiguity, cause misunderstanding by others, or otherwise does not comply with legal requirements.

If the nickname you set is suspected of infringing upon the legitimate rights and interests of others, Scale Up has the right to terminate some or all of its software services to you. Scale Up does not assume any responsibility for this, and you will bear any direct or indirect losses and adverse consequences arising therefrom.

5.5 The user agrees to authorize Scale Up operators to use the user’s information resources for the following reasons:

(1) Perform software verification and upgrade services;

(2) Improve user safety or provide customer support;

(3) When providing specific services in response to special requests from users, information needs to be provided to Scale Up or related third parties or other users;

(4) Use various non-personal privacy data for commercial purposes, including but not limited to providing value-added services, advertising, targeted advertising, marketing, joint registration, promotions or other activities to third parties;

(5) At the request of judicial or government agencies;

(6) To improve user experience;

(7) Other situations that are beneficial to the interests of users and Scale Up and do not violate any mandatory laws and regulations.

6. Scale Up usage specifications
6.1 Users must be responsible for their own online behavior, including taking full responsibility for the content they publish, upload or transmit (including text, pictures, video content, software products, etc.). Users must promise that any content published on the Scale Up platform complies with the laws, regulations, rules and regulations of the People’s Republic of China and Scale Up’s management standards. Scale Up has the right to delete any content posted by users that does not comply with management regulations and does not assume any responsibility.

6.2 Users promise not to publish, reprint or transmit content containing any of the following contents during the use of Scale Up products and services. Otherwise,Scale Up has the right to handle it on its own without notifying the user:

(1) Violates the basic principles established by the Constitution;

(2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity;

(3) Damaging national honor and interests;

(4) Inciting ethnic hatred, ethnic discrimination, and undermining ethnic unity;

(5) Undermining national religious policies and promoting cults and feudal superstitions;

(6) Spread rumors, disrupt social order, and undermine social stability;

(7) Spread obscenity, pornography, gambling, violence, terror or instigate crimes;

(8) Insulting or slandering others and infringing upon others’ legitimate rights and interests;

(9) Inciting illegal assembly, association, procession, demonstration, or gathering of people to disrupt social order;

(10) Activities in the name of illegal civil organizations;

(11) Contains other content prohibited by laws, regulations, and rules;

(12) Contains other content prohibited by the relevant national competent authorities.

6.3 When using Scale Up products and services, users commit to and abide by the following provisions:

(1) All actions performed comply with national laws, regulations and other normative documents as well as the provisions and requirements of Scale Up’s rules, do not violate social public interests or public morals, do not harm the legitimate rights and interests of others, and do not violate the relevant provisions of this Agreement rule.

(2) Do not publish product or service information that is prohibited by the state or is suspected of infringing on other people’s intellectual property rights or other legitimate rights and interests. Do not publish product or service information that goes against social public interests or public morals or that Scale Up deems inappropriate for publishing on Scale Up. Do not publish other information that is suspected of being illegal or violating this Agreement and various rules.

(3) Unless otherwise agreed between the user and Scale Up, the user shall not make commercial use of any data/materials in Scale Up, including but not limited to copying, disseminating, etc. without Scale Up’s prior written consent. Methods to use all materials or courses presented in Scale Up.

(4) Do not use any device, software or program to interfere or attempt to interfere with the normal operation of Scale Up or any transactions and activities being conducted on the Scale Up platform.

(5) Except as otherwise mandated by law, no unit or individual may illegally copy, reproduce, quote, link, crawl or otherwise use in whole or in part in any way without the express written permission of Scale Up The information content in Scale Up products, otherwise,Scale Up has the right to pursue its legal responsibility.

6.4 Users fully understand and agree:

(1) If the user violates the foregoing commitment and any legal consequences occur, the user shall independently bear all legal responsibilities in his own name and ensure that Scale Up is free from any losses or increased expenses resulting therefrom.

(2) If the user violates the law or the provisions of this agreement and causes Scale Up to be claimed by a third party, the user shall fully compensate Scale Up for all expenses (including but not limited to various compensation fees, litigation agency fees and other expenses incurred for this purpose). reasonable fees).

(3) When a third party believes that the content/products published or uploaded by users (including but not limited to videos, pictures, text, applications, software, etc.) infringes upon its rights, or the effective legal documents of the national administrative and judicial authorities confirm that you have violated the law , infringement, or if Scale Up, based on its own judgment, believes that your behavior violates the provisions of national laws and regulations or is suspected of violating the terms of this agreement,Scale Up has the right to delete relevant information at its own discretion and publicize your suspected violation on Scale Up or the website. 7. Disclaimer
7.1 Users understand and agree that in the process of using Scale Up services, they may encounter force majeure and other risk factors, which may cause service interruption or delay. Force majeure refers to objective events that cannot be foreseen, overcome and avoided and have a significant impact on one or both parties, including but not limited to natural disasters (such as floods, typhoons, earthquakes, etc.), social events (such as wars, riots, government actions) Etc., when the above situation occurs,Scale Up will work hard to repair the products and services, but Scale Up will not be liable for any losses caused to you to the extent permitted by law.

7.2 To the extent permitted by law,Scale Up is not responsible for service terminals or obstructions caused by the following circumstances:

(1) Damaged by computer viruses, Trojan horses or other malicious programs and hacker attacks;

(2) Failure of the user’s or Scale Up’s computer software, system, hardware and communication lines;

(3) Improper user operation;

(4) Users use this service in a manner not authorized by Scale Up;

(5) Other circumstances that Scale Up cannot control or reasonably foresee.

7.3 Users understand and agree that in the process of using Scale Up products and services, they may encounter risks and damages caused by network information or other users.Scale Up is not responsible for the authenticity, applicability, and legality of any information or products. shall not be held responsible for any damage caused to you due to infringement. These risks include but are not limited to:

(1) Information containing threatening, defamatory, objectionable or illegal content from others anonymously or impersonator;

(2) Suffer any psychological, physical and economic damage caused or likely to be caused by others’ misdirection, deception or other consequences due to the use of the products or services under this agreement.

7.4 Scale Up has the right to deal with illegal and illegal content, products or services in accordance with this agreement, but this right does not constitute Scale Up’s obligations and commitments, and Scale Up does not guarantee timely discovery and corresponding processing.

7.5 For a single product or service provided to you by a single product operator through Scale Up, the individual product operator shall independently bear all responsibilities and obligations related to the product or service, and other Scale Up does not assume any responsibility or obligation for this.

8. Change, suspension or termination of products/services
8.1 Users should use Scale Up and its services in a standardized and legal manner. If a user publishes information that is illegal, violates social ethics or violates the provisions of this Agreement, or violates relevant laws, regulations or this Agreement,Scale Up has the right to take the following measures:

(1) Directly delete content that violates laws, regulations or this agreement;

(2) Suspend or restrict your right to use Scale Up and its products and services, including but not limited to restricting your use of some or all of Scale Up’s functions, products, services, etc.;

(3) Terminate your right to use Scale Up;

(4) Reclaim your account and have the right to prohibit you from applying for or obtaining a new account through other means;

(5) Pursue your legal liability in accordance with the law and claim corresponding damages.

8.2 Scale Up has the right to suspend, change, or terminate Scale Up products or part of its functions based on business development needs, and has the right to decide whether to (continue) to provide certain products and services in Scale Up; Scale Up is not responsible for the aforementioned circumstances. There is an obligation to notify users.

8.3 Unless otherwise provided by law, users are responsible for backing up the data stored in Scale Up. If the user’s service is terminated, the operator of Scale Up has the right to permanently delete all your relevant data in Scale Up from the server and shall not We are obliged to return or provide the aforementioned data to you in any form.

9. Advertising
9.1 The user agrees that Scale Up may send advertising, promotion or publicity information to you by itself or by third-party advertisers in the process of providing services; its method and scope may be changed without special notice to you.

9.2 Users should judge the authenticity and reliability of the advertising information sent and promoted by Scale Up to you and be responsible for their own judgment. Unless expressly provided by law,Scale Up operators are not responsible for any transactions you conduct or losses/damages you suffer due to this advertising information.

9.3 Users are not allowed to block or filter advertising information without the written permission of the Scale Up operator.

10. Applicable law and dispute resolution methods
10.1 The place where this agreement is signed is Minhang District, Shanghai, People’s Republic of China.

10.2 The establishment, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Mainland China (excluding conflict of laws).

10.3 If you have any dispute or dispute with the Scale Up operator, it should first be resolved through friendly negotiation; if the negotiation fails, you agree to submit the dispute or controversy to the Beijing Arbitration Commission for arbitration in Beijing. The arbitration award is final and binding on both parties.

11. Other provisions
11.1 If any provision of this Agreement is partially invalid or unenforceable for any reason, it will not affect the binding force of the remaining provisions of this Agreement on both parties.

11.2 The titles of the terms of this Agreement are only for convenience of reading and shall not be used as a basis for interpreting the terms of this Agreement.
